Legal Notice and Terms of Service

This website portal (teros.ai), including its subdomains such as os.teros.ai and app.teros.ai, is owned and operated by Teros AI, S.L. (hereinafter, "Teros", "we", "us", or the "Company"), an AI safety and automation company with VAT/NIF number B-88787445, and registered office at Calle Jacinto Camarero 8, entreplanta, 28019 Madrid, Spain.

Minimum Age:

You must be at least 18 years old to use the Services. Notwithstanding the foregoing, in accordance with Article 8 of the GDPR, minors aged 16 to 18 may use the Services with the express consent of their legal guardian, which must be verified by Teros. Teros reserves the right to request age verification documentation and parental consent at any time, and to suspend accounts that violate this policy.

Your Teros Account:

To access our Services, you must create an account. You agree to provide correct, current, and complete information. You may not share your account login information or API keys with anyone else. You are responsible for all activity occurring under your account, and you agree to notify us immediately if you become aware of any unauthorized access by sending an email to core@teros.ai.

Business Domains:

If you use an email address owned by your employer or another organization, your account may be linked to the organization's enterprise account, and the organization's administrator may be able to monitor and control the account, including having access to your Materials (defined below).

Identity Verification:

Teros reserves the right to request additional identity verification (government-issued ID, company verification, etc.) when it detects anomalous usage patterns, when usage volume exceeds reasonable thresholds, or when required by legal obligation.

Teros is committed to building reliable and steerable AI systems. You may access and use our Services only in compliance with these Terms and applicable laws. In alignment with frontier AI safety standards, you may not access or use our Services to:

Violate Laws:

Engage in any manner that violates applicable laws or regulations, including export control laws.

Compete:

Develop products or services that compete with Teros, including using our Services to develop or train any artificial intelligence or machine learning algorithms or models.

Reverse Engineer:

Decompile, reverse engineer, disassemble, or otherwise reduce our Services to human-readable form, except where explicitly permitted by our open-source licenses.

Scrape:

Crawl, scrape, or otherwise harvest data or information from our Services other than as permitted via our official APIs.

Harm Critical Infrastructure:

Facilitate the destruction or disruption of critical infrastructure, or obtain unauthorized access to critical systems.

Create Malware:

Create or distribute malware, ransomware, or develop tools designed to compromise systems at scale.

Incite Violence or Hate:

Incite, facilitate, or promote violent extremism, terrorism, or hateful behavior, or promote discriminatory practices.

Compromise Privacy:

Misuse, collect, solicit, or gain access without permission to private information, or impersonate a human by presenting AI-generated results as human-generated.

Generate CSAM:

Create, distribute, or promote child sexual abuse material (CSAM), or facilitate the exploitation of a minor.

Send Spam or Unsolicited Mass Communications:

Use Agents to send mass emails, messages, or any form of unsolicited automated communication (spam, phishing, smishing), or to scrape third-party contact data without consent. Violation of this prohibition will result in immediate account suspension.

Advanced Impersonation and Fraud:

Create or deploy Agents that impersonate natural or legal persons using advanced techniques (deepfakes, synthetic voice, fake documents), or that participate in scam schemes, social engineering, or automated fraud. You agree to clearly identify as AI-generated any content or communication produced by your Agents, in accordance with Article 52 of the EU AI Act.

Excessive Resource Usage:

Use the Services in a way that consumes resources disproportionately or degrades service quality for other users, including but not limited to: infinite Agent loops, unjustified mass API calls, or any usage pattern that Teros reasonably determines to be abusive.

Geographic Restrictions:

Access the Services from jurisdictions subject to EU or US sanctions, or use the Services in a way that violates Regulation (EU) 2021/821 on dual-use export controls.

You also must not abuse, harm, interfere with, or disrupt our Services, including bypassing any of our systems or protective safety guardrails.

Consequences of Violation: Violation of any of these prohibitions will entitle Teros to, depending on severity: (a) issue a warning; (b) temporarily suspend the account; (c) permanently terminate the account; or (d) report the conduct to competent authorities. Teros will notify the user of the measure taken and the reasons, unless prohibited by law or unless notification would compromise an ongoing investigation.

Generally:

You may interact with our Services by submitting text, code, or files ("Inputs"). Our Services generate responses ("Outputs") or enable AI agents to take actions on your behalf, such as software manipulation, data processing, and system interactions ("Actions"). Inputs and Outputs collectively are "Materials".

Rights and Responsibilities:

You are responsible for all Inputs you submit and all Actions you direct our agents to take. By submitting Inputs, you represent and warrant that you have all rights, licenses, and permissions necessary for us to process them, including the authority to grant Teros access to third-party services via OAuth or API keys. As between you and Teros, you retain any right, title, and interest in your Inputs. Subject to your compliance with these Terms, we assign to you all of our right, title, and interest in the Outputs.

Reliance on Outputs and Actions

Artificial intelligence and large language models are frontier technologies that are still improving in accuracy and reliability. When you use our Services, you acknowledge and agree that:

• Outputs may not always be accurate and may contain material inaccuracies (commonly known as "hallucinations").
• Actions taken by autonomous agents may not be error-free or operate exactly as intended.
• You should not rely on any Outputs or Actions without independently verifying their accuracy, especially in high-stakes contexts (e.g., medical, legal, or financial advice). Teros is not a registered investment adviser or legal counsel.

Agent Time:

Our subscription plans (Starter, Growth, Pro, Ultra, and Enterprise) are billed based on "Agent Time", which represents the total backend processing time your agents consume, including LLM inference and tool execution. Wait times and coffee breaks are not counted. Agent Time is calculated as CPU/GPU time consumed by your Agents, measured in seconds, and is visible in your dashboard in real time. If you detect anomalous or unauthorized consumption, you may open a dispute by emailing core@teros.ai within 30 days of billing. Teros will investigate and respond within a maximum of 15 business days. If you exceed your monthly allowance, additional hours can be purchased on demand.

Bring Your Own Key (BYOK):

The Starter plan requires you to provide your own API keys for LLM providers. Teros is not responsible for any charges incurred directly with those providers.

Always-On Containers:

Higher-tier plans include 24/7 Always-On containers. We guarantee the availability of these containers according to our Service Level Agreement (SLA), but we reserve the right to perform scheduled maintenance with prior notice.

Teros utilizes third-party Large Language Models (LLMs) provided by entities such as OpenAI, Anthropic, and Google to power our AI agents, unless you use the BYOK feature. Teros does not own or train these underlying models. Your interaction with the platform may be subject to the Acceptable Use Policies of these third-party AI providers. Teros acts solely as an orchestrator and shall not be held liable for the specific content generated by these third-party models.

Furthermore, our Services allow you to connect to over 35 third-party applications (e.g., GitHub, Notion, Gmail, Linear, Figma, Sentry). Teros does not control and is not responsible for the data practices of these third-party services. Before enabling an integration, you must ensure you have the authority to grant such access.

All contents of the portal — including texts, graphics, logos, source code, system prompts, and software — are the exclusive property of Teros AI, S.L. and are protected by intellectual property laws. You may not use our name, logos, or trademarks without our prior written permission.

Self-Hosted Version: The self-hosted version of Teros is distributed under the Functional Source License 1.1 (FSL-1.1-Apache-2.0), which permits internal use, non-commercial education, non-commercial research, and professional services, but prohibits Competing Use. Two years after each release, the license automatically converts to the Apache License 2.0. The acceptable use restrictions set out in clause 3 do not apply to the source code of the self-hosted version, which is governed exclusively by its FSL-1.1-Apache-2.0 license.

Teros reserves the right to interrupt access to the portal at any time for technical or security reasons. We do not guarantee the reliability or availability of the portal.

Liability for Agent Actions: Teros is not responsible for the decisions, content, or actions of Agents deployed by the user. The user assumes full responsibility for the behavior of their Agents and warrants that they have adequate technical and organizational safeguards in place to prevent harm to third parties.

Limitation of Liability: To the maximum extent permitted by law, Teros shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Services; (b) any conduct or content of any third party on the Services; (c) any actions taken by autonomous AI agents on your behalf; or (d) unauthorized access, use, or alteration of your transmissions or content. In any event, Teros' total liability for any claim arising out of or relating to these Terms shall not exceed the amount actually paid by the user to Teros in the 12 months preceding the event giving rise to the claim, or 100 EUR, whichever is greater. This limitation shall not apply in cases of willful misconduct or gross negligence.

Indemnification: The user agrees to indemnify and hold harmless Teros, its directors, employees, and suppliers from any claim, damage, loss, or expense (including reasonable attorneys' fees) arising from: (a) the user's breach of these Terms; (b) the creation, deployment, or action of the user's Agents; (c) the user's or their Agents' violation of third-party rights; or (d) the user's violation of any applicable law or regulation.

Force Majeure: Teros shall not be liable for any failure or delay in performance of its obligations when such failure or delay is due to causes beyond its reasonable control, including but not limited to: cloud provider outages (AWS, GCP, Azure), mass cyberattacks, pandemics, wars, or government decisions.

You may stop accessing the Services at any time. We may suspend or terminate your access to the Services at any time without notice if we believe that you have breached these Terms, violated our Acceptable Use policy, or if we must do so to comply with the law. Upon termination, we may delete any Materials associated with your account.

Following account termination, you will have 30 calendar days to export your Materials. After that period, Teros will securely delete all Materials associated with the account, unless there is a legal obligation to retain them.

You may not export or provide access to the Services into any U.S. or EU embargoed countries or to anyone on restricted party lists. We may comply with governmental, court, and law enforcement requests relating to the provision or use of the Services, and we reserve the right to report information regarding illegal activities (such as CSAM) to law enforcement authorities.

Security Breach Notification: In the event of a security breach affecting your personal data, Teros will notify the Spanish Data Protection Agency (AEPD) within a maximum of 72 hours in accordance with Article 33 of the GDPR. If the breach poses a high risk to your rights and freedoms, Teros will communicate the breach to you without undue delay, including: the nature of the breach, the data affected, the measures taken, and the contact details of the Data Protection Officer.

Cooperation with Authorities: Teros will cooperate with judicial, police, and regulatory authorities, and may hand over records, logs, generated content, and user identification data when required by court order or founded request. The user expressly consents to such cooperation.

These Terms will be governed by and construed in accordance with the laws of Spain. You and Teros agree that any disputes arising out of or relating to these Terms will be resolved in the Courts and Tribunals of the city of Madrid, Spain. However, if you are a consumer, nothing in this clause affects your legal rights to bring proceedings in the courts of your domicile under consumer protection law.

Teros reserves the right to modify these Terms at any time. We will notify you of material changes at least 30 days in advance by email to the address associated with your account, or by prominent notice on the platform. Continued use of the Services after the effective date of the modifications constitutes acceptance of the new Terms. If you do not agree with the modifications, you must stop using the Services and cancel your account before the effective date.

Teros provides any person with an abuse reporting channel at core@teros.ai. The complainant must provide: (a) identification of the allegedly infringing Agent or account; (b) detailed description of the reported activity; (c) evidence supporting the claim; and (d) the complainant's contact details. Teros will respond within a maximum of 48 business hours, and may: request additional information, provisionally suspend the reported account, remove the infringing content, or notify the competent authorities. Teros acts as a mere hosting service provider in accordance with Directive 2000/31/EC.

The user agrees not to deploy Agents that carry out activities included in the prohibited risk categories of Article 5 of Regulation (EU) 2024/1689 (AI Act), including but not limited to: social scoring systems, subliminal manipulation, or remote biometric identification in public spaces. The user guarantees the transparency required by Article 52 of the AI Act, clearly identifying as AI-generated any content produced by their Agents. Teros will cooperate with authorities in required impact assessments and may suspend or terminate accounts that breach this clause, notifying the authorities when legally required.
